Terms of Service

Shelpuk AI Technology Consulting ("Shelpuk AI", "we", "us") provides AI technology consulting services, including AI Opportunity Discovery, Fixed-Price AI Product Development, AI-Native Engineering Teams, and AI Engineering Enablement.

These Terms of Service govern all engagements, proposals, and service agreements between Shelpuk AI and its clients ("you", "the Client"). Specific project terms are defined in individual Statements of Work (SOW).

All engagements begin with a discovery conversation. Project scope, deliverables, timeline, and pricing are documented in a Statement of Work before any work commences.

For Fixed-Price AI Product Development, scope is agreed upon upfront and subject to change control procedures. For Engineering Teams engagements, terms are defined on a monthly basis.

Upon full payment, all custom code, models, and deliverables created for the Client become the Client's intellectual property. Shelpuk AI retains rights to general methodologies, frameworks, and pre-existing tools.

Open-source components used in deliverables remain subject to their respective licenses. We provide full transparency on all third-party dependencies.

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business data, technical specifications, and strategic plans.

Confidentiality obligations survive the termination of any engagement for a period of two (2) years.

We process personal data in compliance with the EU General Data Protection Regulation (GDPR). All data processing activities are documented and subject to appropriate technical and organizational measures.

For AI projects involving personal data, we implement privacy-by-design principles and can deploy on EU-sovereign infrastructure upon request. See our EU & Privacy page for details on our sovereign AI capabilities.

Payment terms are specified in each Statement of Work. Standard terms are net 14 days from invoice date. Fixed-price projects typically follow a milestone-based payment schedule.

All prices are quoted in EUR unless otherwise specified. VAT is applied in accordance with applicable Polish and EU tax regulations.

We warrant that services will be performed with professional care and skill. Deliverables include a warranty period as specified in the SOW, typically 30 days after acceptance.

Our total liability is limited to the fees paid for the specific engagement. We are not liable for indirect, consequential, or incidental damages.

Either party may terminate an engagement with 30 days written notice. For fixed-price projects, the Client pays for work completed to date based on milestone progress.

Sections on Intellectual Property, Confidentiality, Data Protection, and Liability survive termination.

These Terms are governed by the laws of the Republic of Poland. Any disputes shall be resolved by the competent courts in Warsaw, Poland.

For EU-based clients, applicable EU regulations including the AI Act, GDPR, and Digital Services Act take precedence where applicable.
